Title to NJFILEMAPS.COM, including all copies thereof, except for the specific limited license to use granted in this Agreement, remains with CRT Support. Copyright claim does not extend to texts of filemaps. You agree to take all reasonable measures to protect and abide by CRT Support's copyright and other proprietary rights. All rights under this Agreement, shall terminate upon your breach of the terms and conditions contained herein. This NJFILEMAPS.COM agreement is nonexclusive, nontransferable (except as set forth below), and limited to the express rights set out herein. 1. NJFILEMAPS.COM is protected by copyright as a collective work and/or compilation, pursuant to U.S. copyright laws, and other copyright laws. The contents of the NJFILEMAPS.COM are only for Account holder's use as permitted herein and for no other purpose. All materials contained on the NJFILEMAPS.COM are protected by copyright, and are owned or controlled by NJFILEMAPS.COM or the party credited as the provider of the content. Account holder will abide by any and all additional copyright notices, information, or restrictions contained in any content on the NJFILEMAPS.COM.Account holder may download and make copies of the content and other downloadable items displayed on this NJFILEMAPS.COM for use as permitted herein, provided that Account holder maintains all copyright and other notices contained in such content. Copying or storing of any content for uses other than as permitted herein is expressly prohibited without the prior written permission from NJFILEMAPS.COM or the copyright holder identified in the individual content's copyright notice. 2. Account holder may not reverse engineer, decompile, disassemble or otherwise attempt to discern the source code of the components of NJFILEMAPS.COM. Except as herein expressly permitted, Account holder may not reproduce all or any portion of the components of NJFILEMAPS.COM. Account holder may use any information cached in Account holder's local disk drive solely in support of its use of NJFILEMAPS.COM as permitted herein and for no other purpose. Account holder shall notify, and shall be responsible for, its employees and others who may have access to NJFILEMAPS.COM, to comply with the restrictions contained herein and to ensure their compliance with these restrictions. Account holder may download any content on the NJFILEMAPS.COM for its use only as permitted herein, as long as it leaves intact any copyright notices. Account holder may not use any of the trademarks, logos, or service marks that appear on the NJFILEMAPS.COM for any purpose. 3. Account holder represents, covenants and warrants that it shall not post, upload, or transmit to or distribute or otherwise publish through the NJFILEMAPS.COM any materials whatsoever. NJFILEMAPS.COM will collect, store, compile and utilize information about you, your computer, your phone number and your use of the NJFILEMAPS.COM Services including, without limitation, information regarding the Web sites you visit and information that you provide in response to NJFILEMAPS.COM questionnaires, surveys and registration forms. NJFILEMAPS.COM will not provide this information to third parties including advertisers, clients, marketing organizations and others. NJFILEMAPS.COM will not disclose your name, address, telephone number, credit card number(s), e-mail addresses or other personal identifying information to third parties other than those acting on behalf of NJFILEMAPS.COM. 4. Imagery and property data provided may not be sublicensed, published sold or distributed in any form. Imagery and/or property data provided may not be published on any Internet web site. 5. Billing/Payments (1) All access to and use of the NJFILEMAPS.COM and the Service will be billed in accordance with NJFILEMAPS.COM agreement with the account holder. Account holder will pay with credit card on account upon download. You must provide a valid method of payment (i.e. credit card,) You expressly authorize NJFILEMAPS.COM (or third parties acting on behalf of NJFILEMAPS.COM ) to charge all NJFILEMAPS.COM download fees and other charges, including payment transaction fees for certain payment methods, to the payment method you have designated. You acknowledge and agree that NJFILEMAPS.COM will not obtain any additional authorization from you for any recurring payments or automatic billing options. If you have any billing-related questions or want to stop a recurring payment from being charged to your designated payment method, call our billing support number (1-732-525-1414). Some fees that you may incur using the NJFILEMAPS.COM Services may accumulate on your NJFILEMAPS.COM account before they are charged to your designated payment method. NJFILEMAPS.COM will assess a late fee of 1.5% per month (or the highest amount permissible by law, whichever is less) if your payment is more than 30 days past due. You will be liable for any fees NJFILEMAPS.COM incurs in its efforts to collect any unpaid balances from you. Any billing problems or discrepancies must be brought to NJFILEMAPS.COM 's attention by you within 90 days from the date you are billed. If you do not bring them to NJFILEMAPS.COM 's attention within 90 days, you agree that you waive your right to dispute such problems or discrepancies with NJFILEMAPS.COM . NJFILEMAPS.COM may suspend or terminate your use of the NJFILEMAPS.COM Services if you fail to provide a valid designated payment method upon request or if NJFILEMAPS.COM is unable for any reason to bill charges to your designated payment method. You are responsible for all fees and charges incurred, including applicable taxes and purchases made by you or anyone you allow to use your account, including your children and other members of your family. This means that, unless your account or payment method information is obtained unlawfully or fraudulently by someone other than those authorized to use your account, you will be responsible for all usage and purchases under your account. (2) All charges are on a per-download basis. 6. Warranties and Disclaimers. (1) CRT SUPPORT HAS MADE REASONABLE EFFORTS TO MAINTAIN THE NJFILEMAPS.COM IN A COMPLETE AND ACCURATE MANNER, AND TO KEEP IT CURRENT, BUT NOTWITHSTANDING ANY STATEMENT THAT MAY APPEAR ON THE NJFILEMAPS.COM , OR ANY ORAL OR WRITTEN REPRESENTATION OR WARRANTY MADE BY ANY AGENT OR REPRESENTATIVE OF CRT SUPPORT, OR IN ANY ORAL OR WRITTEN STATEMENTS, REPRESENTATION, OR WARRANTY MADE BY ANY EMPLOYEE, OFFICER, DIRECTOR, OR REPRESENTATIVE OF CRT SUPPORT, ACCOUNT HOLDER UNDERSTANDS, ACKNOWLEDGES, AND AGREES THAT THE ULTIMATE RESPONSIBILITY IS ON ACCOUNT HOLDER ITSELF TO VERIFY THE ACCURACY OF ALL INFORMATION ON THE SERVICE. ACCORDINGLY, ALL INFORMATION, FUNCTIONS, CONTENT AND MATERIALS MADE AVAILABLE ON OR ACCESSED THROUGH THE NJFILEMAPS.COM ARE PROVIDED "AS IS". CRT SUPPORT DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, PERFORMANCE, ACCURACY, COMPLETENESS, AND THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. (2) IN NO EVENT SHALL CRT SUPPORT BE LIABLE FOR: (I) ANY DAMAGES RELATING TO ACCOUNT HOLDER'S USE OF THE NJFILEMAPS.COM , INCLUDING, WITHOUT LIMITATION, THE CONTENT AND ANY ERRORS CONTAINED THEREIN; OR ACTION TAKEN BY ACCOUNT HOLDER IN RELIANCE ON THE NJFILEMAPS.COM OR INFORMATION CONTAINED THEREIN; (II) SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, EVEN IF CRT SUPPORT HAS BEEN SPECIFICALLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE; (III) ANY CLAIM RELATING TO A THIRD-PARTY LINKED FEATURE; OR (IV) ANY OTHER THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF INFORMATION CONTAINED ON THE NJFILEMAPS.COM . (3) ACCOUNT HOLDER'S EXCLUSIVE REMEDY, AND CRT SUPPORT'S ENTIRE LIABILITY, WHETHER IN CONTRACT OR NEGLIGENCE OR OTHERWISE, SHALL BE LIMITED TO THE AGGREGATE AMOUNT OF MAP AND DATA CHARGES RELATED TO THE SPECIFIC USE. CRT SUPPORT ALSO DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED ON THE NJFILEMAPS.COM OR ANY MATERIALS OR CONTENT ON THE NJFILEMAPS.COM WILL BE UNINTERRUPTED OR FREE OF ERRORS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE NJFILEMAPS.COM OR THE SERVER THAT MAKES THE NJFILEMAPS.COM AVAILABLE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. IF SOMETHING GOES WRONG WITH ACCOUNT HOLDER'S COMPUTER AND ACCOUNT HOLDER BELIEVES IT WAS CAUSED BY ITS USING THE NJFILEMAPS.COM , ACCOUNT HOLDER IS RESPONSIBLE FOR SERVICING OR REPAIRING THE COMPUTER AND FOR RECREATING OR REPLACING ANY LOST DATA. CRT SUPPORT IS NOT RESPONSIBLE FOR ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE NJFILEMAPS.COM OR ANY LINKED NJFILEMAPS.COM . 7. CRT Support may change, suspend or discontinue any aspect of the NJFILEMAPS.COM at any time, including the availability of any NJFILEMAPS.COM feature, database, or content. CRT Support may also impose or remove limits on certain features and services or restrict Account holder's access to parts or all of the NJFILEMAPS.COM without notice or liability. 8. This agreement does not entitle you to any hard-copy documentation, support or telephone assistance. CRT Support may, at its sole discretion, provide technical assistance upon request via phone, fax or email. 9. Account holder hereby agrees to indemnify, defend and hold CRT Support and all its officers, directors, owners, agents, employees, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by Account holder of the Agreement or the foregoing representations, warranties and covenants, including, without limitation, attorneys fees and costs. Account holder shall cooperate as fully as reasonably required in the defense of any claim. CRT Support reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Account holder and Account holder shall not in any event settle any matter without the written consent of CRT Support. 10. The NJFILEMAPS.COM contains links to third-party products, services or Web site's, which are not under the control of CRT SUPPORT. CRT SUPPORT makes no representations or warranties whatsoever about any other products, services or Web sites to which Account holder may have access through the NJFILEMAPS.COM site. CRT SUPPORT assumes no responsibility for errors or omissions in the information or other documents, which are referenced by or linked to the site . When Account holder accesses a non-CRT SUPPORT Web site , it does so at its own risk, and CRT SUPPORT is not responsible for the accuracy or reliability of any information, data, opinions, advice, or statements made on these site's. CRT SUPPORT provides these links merely as a convenience and the inclusion of such links does not imply that CRT SUPPORT endorses or accepts any responsibility for the content or uses of such Web site's. Nor does CRT SUPPORT endorse or recommend the products or services that any of those site's may be promoting or selling. The limitations on CRT SUPPORT's liabilities set forth in this paragraph also apply to any damages or losses that Account holder may suffer by using third-party Web site's APPLICABLE LAW: This Agreement is governed by the laws of the State of New Jersey and the United States, including patent and copyright laws. Any claim arising out of this Agreement will be brought in Middlesex County, New Jersey. 11. Term and Termination. This Agreement will become effective upon approval by CRT Support. Notwithstanding the foregoing, CRT Support may terminate this Agreement without notice if Account holder fails to keep current in its payment obligations or otherwise fails to comply with any term and condition in this Agreement, as amended from time to time. 12. Non-Assignability Neither this Agreement nor any part or portion may be assigned, sublicensed or otherwise transferred by Account holder without CRT Support prior written consent. 13. Enforceability Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal by a court of competent jurisdiction in whole or in part, the validity and enforceability of the other provisions will not be affected thereby, and the Agreement will be enforceable to its fullest extent with the referenced clause, so modified or deleted. 14. Waiver Failure of any party to enforce any provision of this Agreement will not constitute or be construed as a waiver of such provision or of the right to enforce such or any other provision. 15. This Agreement (which includes any future amendments which are stated at the NJFILEMAPS.COM ) embodies the entire understanding between the parties with respect to the subject matter of this Agreement and supersedes any and all prior or contemporaneous understandings and agreements, oral or written, relating to the subject matter.
